Terms of Service

These Terms of Service ("Terms") govern your access to and use of the payment orchestration platform and related services ("Services") provided by BloomXpe Services Pvt Ltd ("BloomXpe", "we", "us", or "our"), a company registered in India. By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By registering for an account, accessing our API, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Be a legally registered business entity in India or an applicable jurisdiction
• Possess all required licences and permits to operate your business
• Complete our KYC verification process as mandated by RBI guidelines
• Not be listed on any government sanctions or restricted party lists

3. Services Description

BloomXpe provides a payment orchestration platform that enables merchants to:

• Integrate multiple payment gateways through a single API
• Route transactions intelligently based on success rates, cost, and speed
• Monitor and analyse payment performance through a unified dashboard
• Manage payouts and settlements across multiple banking channels
• Access connected banking and reconciliation services

4. Account Registration and Security

You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials and API keys
• All activities that occur under your account
• Notifying us immediately of any unauthorised access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

5. Fees and Payment

• Service fees are as specified in your merchant agreement or pricing plan
• Transaction processing fees are deducted from settlements as agreed
• We reserve the right to modify fees with 30 days' prior written notice
• All fees are exclusive of applicable taxes (GST) unless stated otherwise
• Disputed charges must be raised within 30 days of the billing date

6. Acceptable Use

You agree not to use our Services to:

• Process transactions for prohibited or illegal businesses
• Engage in money laundering, terrorist financing, or fraud
• Violate any applicable laws, regulations, or third-party rights
• Transmit malware, viruses, or malicious code through our API
• Attempt to gain unauthorised access to our systems or data
• Resell or redistribute our Services without written authorisation

7. Intellectual Property

All intellectual property rights in the Services, including software, APIs, documentation, trademarks, and content, are owned by BloomXpe. You are granted a limited, non-exclusive, non-transferable licence to use the Services solely for your business operations in accordance with these Terms.

8. Data Protection

Both parties agree to comply with applicable data protection laws, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023. Our data handling practices are detailed in our Privacy Policy.

9. Service Level and Availability

We strive to maintain 99.9% platform uptime. However, we do not guarantee uninterrupted availability and shall not be liable for downtime caused by:

• Scheduled maintenance (communicated in advance)
• Third-party payment gateway outages
• Force majeure events
• Issues caused by your systems or integration

10. Limitation of Liability

To the maximum extent permitted by law, BloomXpe's total liability for any claims arising from or related to these Terms or the Services shall not exceed the total fees paid by you in the 12 months preceding the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold BloomXpe harmless from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the service relationship with 30 days' written notice. We may immediately suspend or terminate your access if you breach these Terms, engage in fraudulent activity, or pose a risk to our platform or other users. Upon termination, pending settlements will be processed according to the standard settlement cycle.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through our platform with at least 30 days' notice. Continued use of the Services after changes take effect constitutes acceptance of the modified Terms.
